New Chinese Guideline Aims to Modernize Corporate Systems by 2035

In a bid to supercharge its corporate landscape, the Chinese authorities on Monday released a guideline to refine the modern corporate system with distinctive Chinese features. The landmark plan outlines 19 measures designed to boost governance, innovation and market resilience across eligible enterprises.

The guideline, issued by the general offices of the Communist Party of China Central Committee and the State Council, zeroes in on three core pillars:

  • Party Leadership & Governance: Strengthening the Party’s role in board oversight and optimizing organizational structures.
  • Scientific Management: Introducing data-driven processes to enhance decision-making and resource allocation.
  • Innovation Incentives: Revamping incentive mechanisms to foster R&D, organizational agility and talent retention.

According to a Q&A on the National Development and Reform Commission website, the aim is to 'empower enterprise development with institutional innovation, further unleashing the vitality of micro entities and making enterprises more dynamic, resilient and competitive.'

For the next five years, eligible companies are expected to roll out modern corporate frameworks that prioritize transparency and accountability. Looking ahead to 2035, the guideline envisions refined systems that significantly boost the global competitiveness of Chinese enterprises, laying the groundwork for world-class companies.

A dedicated chapter on capital markets encourages listed firms to engage institutional investors holding over 5 percent stakes as active shareholders. Improved information disclosure protocols will support more robust corporate governance and sound decision-making.
